The terms that govern your use of the PayGuard payroll assurance platform.
Effective date: 31 October 2026
By accessing or using the PayGuard platform, you agree to be bound by these Terms of Service. If you are accessing PayGuard on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
If you do not agree to these terms, do not use the PayGuard platform.
PayGuard is an independent payroll assurance platform. The service helps payroll teams identify, explain, and document unexpected payroll variances before funds are released.
PayGuard supports:
PayGuard is an assurance layer. It is not a payroll calculation engine, a statutory compliance tool, or a payroll processing system.
PayGuard uses an AI model (Claude, provided by Anthropic PBC) to generate plain-English explanations of identified payroll variances. These AI-generated explanations are provided to support your payroll review process.
AI-generated explanations are an aid to review — they do not constitute a payroll authorisation, and they do not replace professional payroll judgement.
You acknowledge that:
You are responsible for:
You agree to use PayGuard only for legitimate payroll assurance and reconciliation purposes. You must not:
You retain ownership of all payroll data you upload to PayGuard. PayGuard processes your data only to provide the contracted service.
You are the data controller for payroll data you upload. You are responsible for ensuring you have a lawful basis to process that data through PayGuard, including any employee personal data contained in payroll registers.
Please refer to our Privacy Policy and Data Processing Agreement for details of how PayGuard handles your data.
PayGuard and all associated technology, software, and platform materials are owned by or licensed to PayGuard. These terms do not grant you any intellectual property rights in the PayGuard platform beyond the limited right to use the service in accordance with these terms.
You retain all intellectual property rights in payroll data you upload to PayGuard. You grant PayGuard a limited licence to process that data solely to provide the service.
AI-generated explanations produced by the PayGuard platform in response to your inputs are provided for your use as part of the service. PayGuard does not claim ownership of outputs generated from your data.
Both parties acknowledge that they may receive confidential information from the other in connection with the service.
PayGuard will keep your payroll data and audit results confidential and will not disclose them to third parties except as necessary to provide the service (including to subprocessors listed in our Privacy Policy), or as required by law.
You agree to keep confidential any non-public information about the PayGuard platform provided to you.
PayGuard uses third-party services to provide the platform. Current subprocessors are:
PayGuard is not responsible for the availability, accuracy, or performance of third-party services beyond our obligation to select and oversee subprocessors appropriately. PayGuard will notify customers of material changes to the subprocessor list.
PayGuard will use reasonable efforts to maintain platform availability but does not guarantee uninterrupted service. The platform may be unavailable due to maintenance, infrastructure issues, or circumstances outside PayGuard's control.
PayGuard does not guarantee that:
PayGuard is provided as a software service. You acknowledge that the platform may have defects or limitations and that you use it with appropriate independent controls in place.
To the maximum extent permitted by applicable law:
Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud or fraudulent misrepresentation.
You agree to indemnify and hold harmless PayGuard, its officers, employees, and contractors from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
Either party may terminate use of the PayGuard platform at any time. PayGuard may suspend or terminate your access immediately if you breach these terms, or in the event of circumstances that pose a risk to the platform or other customers.
On termination, your access to the platform will cease. PayGuard will handle your data on termination in accordance with our Privacy Policy and any applicable Data Processing Agreement. You may request deletion of your audit data by contacting hello@payguardapp.com.
These terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are accessing PayGuard from another jurisdiction, local mandatory laws may apply to certain aspects of your relationship with PayGuard.
PayGuard may update these Terms of Service from time to time. When we make material changes, we will update the effective date at the top of this page and notify active customers by email where appropriate.
Continued use of the PayGuard platform after updated terms have been posted constitutes acceptance of the revised terms.
